Acceptance

FusionLink LLC, located in Birmingham, AL 35244,  (hereinafter “we,” “us,” or the “Company”) is the operator of both the website [www.fusionlink.ai] (“Website”) and FusionLink Software (“FusionLink” or the “Software”) (collectively, the “Services”). These Terms of Use (“Agreement”) and our Privacy Policy set forth the conditions under which you, the user (“you” or “User”), may access the Services and the images, text, graphics, personally identifiable information (“PII”), messages, datasets, or any other information and content owned, operated, licensed, or controlled by the Company (“Materials”).

By accessing and using the Website or FusionLink Software, you agree to be bound by these Terms of Use and our Privacy Policy then in effect and by all applicable law. If you do not agree, you must not access or use the Services. We reserve the right to terminate or limit your access for any violation of these Terms or our Privacy Policy, or for any other reason, at our sole discretion. We may amend these Terms of Use from time to time, and your continued use of the Services constitutes acceptance of such changes.

Age Restriction
You may not access the Services if you are under the age of eighteen (18). We reserve the right to verify your age of majority at registration and prohibit access if you are underage.

About Our Services

- Software: FusionLink Software is provided to facilitate lawful access to and responsible use of certain datasets, which may include PII. Access is licensed subject to strict compliance with this Agreement and all applicable laws.

Limited License
We grant you a limited, nonexclusive license to access and use the Services under the following conditions. You:
- Will use the Services solely for lawful, authorized, non-commercial purposes unless otherwise agreed in writing;
- Will not copy, distribute, scrape, resell, or create derivative works from the Services or Materials without prior written authorization;
- Will not use the Services to stalk, harass, exploit, or otherwise misuse PII;
- Will not attempt to reverse-engineer, bypass, or disrupt the Software;
- Will not remove proprietary notices, use framing techniques, hidden text, or marks without authorization;
- Will not aggregate, re-publish, or otherwise misuse PII in violation of privacy laws (including but not limited to HIPAA, FCRA, COPPA, GDPR, CCPA, or other applicable statutes);
- Will not use FusionLink to build marketing lists, conduct unsolicited outreach, or engage in identity theft, fraud, or discrimination.

Violation of these terms may result in termination of access and liquidated damages of $5,000 per violation, in addition to other remedies.

Legal Compliance
You must comply with all applicable federal, state, and international laws when using the Services, including but not limited to:
- CAN-SPAM Act of 2003
- Telephone Consumer Protection Act
- Do Not Call provisions
- Gramm-Leach-Bliley Act (GLBA)
- Fair Credit Reporting Act (FCRA)
- HIPAA
- Children’s Online Privacy Protection Act (COPPA)
- State and international privacy and data protection laws (including GDPR, CCPA).

Political Campaign Use
Political campaigns, political action committees (PACs), and similar entities may access and use FusionLink data provided that:

1. Compliance with Law – Campaign users are solely responsible for ensuring that all use of FusionLink data complies with all applicable federal, state, and local election laws and regulations, including but not limited to Federal Election Commission (FEC) rules, state campaign finance and ethics laws, and applicable data privacy laws.
2. Fundraising and Outreach – Campaign users may use FusionLink data for lawful political outreach and fundraising activities, provided such activities honor all opt-out requests, unsubscribe mechanisms, and “Do Not Contact” lists.
3. No Resale or Transfer – Campaign users may not sell, rent, lease, sublicense, or otherwise transfer FusionLink data to any third party, nor may they combine FusionLink data with other datasets for resale or publication.
4. No Misuse of PII – Campaign users may not use FusionLink data to harass, intimidate, discriminate, or otherwise misuse personally identifiable information (PII).
5. Responsibility and Liability – All responsibility for proper and lawful use of FusionLink data rests solely with the campaign user. FusionLink LLC disclaims any liability arising out of campaign activities, and campaign users agree to indemnify and hold FusionLink harmless from any claims, penalties, or enforcement actions arising from their use of the data.

Authorized User
You are the sole authorized user of your account and license. You may not share access credentials or sublicense use of FusionLink.

Feedback
If you provide feedback, you grant FusionLink LLC a royalty-free, perpetual license to use it without restriction.

Export Restrictions
You agree to comply with all applicable U.S. export and import control laws in relation to the Software.

Termination
We may terminate your license at any time if you breach this Agreement. Upon termination, you must destroy all Materials obtained through the Services.

Warranty Disclaimer
The Services and Software are provided “AS IS.” FusionLink LLC disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee uninterrupted or error-free operation, accuracy of data, or security against all breaches.

Limitation of Liability
FusionLink LLC shall not be liable for any indirect, incidental, punitive, or consequential damages arising from your use of the Services.

Intellectual Property
All Materials, marks, and content made available via FusionLink are protected by copyright, trademark, and other intellectual property laws. You may not use our marks or content without prior written permission.

We may provide notice via email or account alerts. You may provide notice to us at [info@fusionlink.ai].

Indemnification
You agree to indemnify and hold harmless FusionLink LLC, its officers, directors, employees, and affiliates from claims arising out of your misuse of the Services or violation of this Agreement.

Governing Law & Jurisdiction
This Agreement and all matters relating to your access to or use of the Services shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of laws principles. You agree that the state and federal courts located within the State of Alabama shall have exclusive jurisdiction over any disputes arising under or in connection with this Agreement, and you hereby consent to the personal jurisdiction and venue of such courts.

Entire Agreement
These Terms, along with the Privacy Policy, constitute the entire agreement between you and FusionLink LLC.
